Terms of Service

1. Acceptance of Terms

By accessing or using Antoc.ai / Antoc CRM ("we," "our," or "us"), operated by Passdn Technologies, including our website and applications, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

These Terms are governed by the laws of India, including the Digital Personal Data Protection Act, 2023("DPDP Act") and the Digital Personal Data Protection Rules as notified from time to time.

2. Description of Service

Antoc is an AI-powered business platform, including a CRM for real estate and other businesses, covering leads, properties, WhatsApp and other messaging, post-sale collections, attendance, and related tools. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time without prior notice, subject to applicable law.

3. User Accounts

• You may need to create an account to access certain features.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account, including access you give to staff.
• You agree to provide accurate and complete information during registration and update it as necessary.

4. User Conduct

When using our services, you agree not to:

• Violate any applicable laws or regulations, including the DPDP Act
• Use the service for any unlawful or unauthorized purpose
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any portion of the service
• Submit false, misleading, or infringing content
• Collect or store personal data of other persons without a lawful purpose and, where required, their consent
• Upload personal data of children (under 18 years) except as permitted under the DPDP Act

5. Data protection (DPDP Act)

When you store leads, buyers, WhatsApp chats, KYC documents, or other personal data of your customers in Antoc, you are the Data Fiduciary for that data under the DPDP Act. Passdn processes it as a Data Processor on your instructions. For your own Antoc account and billing data, Passdn is the Data Fiduciary.

You agree that you will:

• Collect and process personal data only for a lawful purpose, and give Data Principals a clear notice of what is collected and why.
• Obtain valid consent where required, and honour withdrawal of consent, access, correction, and erasure requests from your customers.
• Use Antoc only for the purposes you have disclosed to those individuals (purpose limitation).
• Limit staff access to personal data, keep credentials secure, and not misuse or sell personal data.
• Not instruct us to process personal data in a way that would breach the DPDP Act.

We implement reasonable security safeguards and will handle personal data breaches as described in our Privacy Policy and as required by the DPDP Act. Our Privacy Policy is incorporated into these Terms.

6. Intellectual Property

All content, features, and technology provided by Antoc.ai, including AI models, software, trademarks, and logos, are owned by or licensed to us. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain rights in the customer and business data you upload, subject to the licence needed for us to provide the service.

7. Third-Party Links and Services

Our service may contain links to third-party websites or services (for example messaging, maps, or payment providers). We do not control or endorse these third parties and are not responsible for their content, privacy practices, or terms. Where they process personal data for us, we treat them as processors or independent fiduciaries as applicable.

8. Disclaimers and Limitation of Liability

• Our service is provided "as is" and "as available" without warranties of any kind, except where the DPDP Act or other law does not allow a disclaimer.
• We do not guarantee the accuracy, completeness, or reliability of recommendations, AI outputs, or other content.
• To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the service.

9. Indemnification

You agree to indemnify and hold harmless Passdn Technologies, its affiliates, and their respective officers, directors, and employees from any claims, damages, liabilities, or expenses arising from your violation of these Terms, misuse of the service, or your processing of personal data (including failure to obtain required consent or to honour Data Principal rights) in breach of the DPDP Act.

10. Termination

We reserve the right to suspend or terminate your access to the service at our sole discretion, without notice, for conduct that violates these Terms or harms the service or other users. Upon termination we will handle personal data as described in the Privacy Policy, including deletion or return where required.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on our website. Your continued use of the service after changes indicates your acceptance of the new Terms.
